Corporate Governance Author:Saleem Sheikh, Rees, Giles Proctor, Lilian Miles This is an up to date book devoted solely to examining how the Company Law Reform will have an impact on companies in the 21st century. It supplements standard company law textbooks currently used on undergraduate degrees by providing students with background knowledge of how Company law in the UK is changing, and its implications for companies ... more »in the years to come. This book considers the role and responsibilities of directors in large public companies under the existing law. The premise of this work is the fact that in today’s business environment, directors are seldom the owners of their companies, yet are seen as central to its success or failure. The problem with this role is that while the law imposes on them various duties, it is difficult to ensure and guarantee that they fulfil their duties in a manner intended by the law. Negligence, flagrant abuse of power, incompetence and mismanagement may prevail over good governance unless mechanisms are devised to prevent this kind of conduct from occurring. This book discusses, in the light of the ongoing Company Law Review, differing approaches to imposing or changing such mechanisms and how reform and renewal of the director’s role can best be achieved. This book also looks at how other jurisdictions deal with this difficult issue of corporate governance, in order to draw out what lessons (if any) we can import from these jurisdictions.« less
